PREAMBLE AND FOUNDING CHARTER

Recognizing that sport is one of the most important means of promoting physical health, mental well-being, ethical development, social cohesion, friendship among nations, cultural exchange, and sustainable human development, the European Sports Union (ESU) is hereby established as an independent, non-profit, non-political organization based upon the principles of sporting ethics, justice, equality, transparency, accountability, mutual respect, and fair play.

The Founder and Founding Member of the Union is:

who shall be referred to throughout these Statutes as the Founder.

These Statutes establish the institutional and organizational framework of the Union for the sustainable development of sport, the protection and advancement of athletes, coaches, referees, researchers, clubs, sports organizations, and the promotion of sporting cooperation throughout Europe and internationally.

CHAPTER I — GENERAL PROVISIONS

Article 1 — Name

The official name of the organization shall be:

EUROPEAN SPORTS UNION

The official abbreviation shall be:

ESU

The name may be translated into other languages for informational and communication purposes, including:

European Sports Union / اتحادیه اروپایی ورزش

The official legal name shall remain European Sports Union, subject to the laws of the jurisdiction in which the organization is registered.

Article 2 — Legal and Organizational Nature

1. The Union shall operate as a non-profit and non-political organization.
2. The Union shall operate in accordance with the laws of the country in which its legal seat is established.
3. Subject to applicable law, the Union shall maintain organizational and operational independence.
4. The Union shall be guided by the principles of:
   • Sporting independence;
   • Equality of members;
   • Non-discrimination;
   • Transparency;
   • Accountability;
   • Sporting ethics;
   • Fair Play;
   • Respect for human dignity;
   • Anti-doping principles;
   • Prevention of corruption;
   • Protection of athletes;
   • Sustainable development; and
   • International cooperation.

Article 3 — Duration

The Union shall be established for an unlimited duration unless dissolved in accordance with these Statutes and the applicable law.

Article 4 — Registered Office

The legal seat and registered office of the Union shall be established in a European country and shall be determined and registered in accordance with the applicable law.

The Union may establish offices, branches, representatives, committees, regional centers, or operational units in other European countries and, where legally permitted, in other parts of the world.

CHAPTER II — MISSION AND OBJECTIVES

Article 5 — Principal Objective

The principal objective of the ESU is to develop, promote, organize, coordinate, and support sport and sport-related activities throughout Europe and to establish a platform for cooperation among athletes, clubs, federations, coaches, referees, academics, researchers, institutions, and other sports organizations.

Article 6 — Specific Objectives

The Union shall pursue the following objectives:

1. To promote professional, amateur, recreational, and grassroots sport.
2. To identify and support young sporting talents.
3. To promote children’s and youth sports.
4. To advance and support women’s participation in sport.
5. To promote the participation of persons with disabilities in sport.
6. To support veteran and retired athletes.
7. To develop education and professional standards for coaches and referees.
8. To improve professional standards in sporting activities.
9. To organize competitions, leagues, tournaments, championships, and sporting festivals.
10. To organize conferences, seminars, workshops, and academic forums.
11. To promote scientific research in sports-related fields.
12. To cooperate with universities, academies, and research institutions.
13. To promote sports medicine and athlete health.
14. To encourage healthy and active lifestyles.
15. To promote the prevention of doping.
16. To combat discrimination, violence, corruption, manipulation, and unethical conduct in sport.
17. To promote Fair Play and professional ethics.
18. To facilitate cooperation between sports organizations of European countries.
19. To develop athlete and coach exchange programs.
20. To establish international educational and training opportunities.
21. To recognize and honor outstanding contributions to sport.
22. To establish sporting awards, medals, distinctions, and honorary titles.
23. To publish books, journals, reports, research, educational materials, and other sporting content.
24. To encourage the responsible use of technology and innovation in sport.
25. To support emerging sporting disciplines and digital sports where legally appropriate.
26. To promote environmental responsibility and sustainable sporting events.
27. To establish cooperation between European sport and sports organizations on other continents.

CHAPTER III — FUNDAMENTAL PRINCIPLES

Article 7 — Fundamental Principles

All organs, officials, members, athletes, and representatives of the ESU shall respect the following principles:

A. Equality

No person shall be discriminated against on the basis of nationality, gender, language, ethnicity, religion, social status, disability, or other personal characteristics, subject to applicable law.

B. Merit and Competence

Athletes, coaches, referees, officials, and administrators should be selected on the basis of competence, performance, integrity, qualifications, and merit.

C. Fair Play

Integrity, honesty, respect for the rules, and respect for opponents shall take precedence over victory at any cost.

D. Independence

The Union shall seek to protect sporting decisions from improper political, commercial, or personal interference.

E. Transparency

The financial and administrative affairs of the Union shall be managed transparently and in accordance with applicable legal requirements.

F. Accountability

All officials and governing bodies shall be accountable to the competent organs of the Union.

CHAPTER IV — THE FOUNDER

Article 8 — Founder of the Union

In accordance with the Founding Charter and the constituent decision establishing the Union, the title of Founder and Founding Member of the European Sports Union shall be attributed to:

The Founder shall be recognized in official historical, ceremonial, and institutional documents of the Union in accordance with applicable law.

Article 9 — Position and Recognition of the Founder

Subject to applicable law, the Founder may:

1. Propose the foundational principles and strategic vision of the Union;
2. Be formally recognized as the Founder of the Union at official ceremonies and events;
3. Serve as Honorary President, Honorary Chairperson, or another honorary position if duly approved by the competent organ;
4. Provide strategic, philosophical, cultural, and institutional guidance;
5. Support programs dedicated to the development and promotion of sport;
6. Be honored in official publications and ceremonies of the Union.

Any executive or legal powers assigned to the Founder beyond honorary or ceremonial functions shall be expressly established in accordance with the law and the duly adopted internal regulations of the Union.

CHAPTER V — MEMBERSHIP

Article 10 — Categories of Membership

Membership of the Union may include:

1. Founding Members;
2. Individual Members;
3. Institutional Members;
4. Sports Clubs;
5. Sports Federations and Associations;
6. Athletes;
7. Coaches;
8. Referees and Officials;
9. Academics and Researchers;
10. Honorary Members;
11. Supporting Members and Institutional Partners;
12. International Associate Members.

Article 11 — Admission Requirements

An applicant for membership shall:

1. Accept these Statutes and the regulations of the Union;
2. Respect the ethical principles of the Union;
3. Provide documentation required for membership;
4. Refrain from conduct that may seriously damage the integrity of sport or the reputation of the Union;
5. Fulfill applicable membership and financial requirements.

Article 12 — Rights of Members

Subject to their category of membership, members may:

1. Participate in Union activities;
2. Attend educational and training programs;
3. Participate in competitions and official events;
4. Submit proposals and recommendations;
5. Vote where voting rights are granted;
6. Stand for elected positions where eligible;
7. Benefit from lawful programs and services provided by the Union.

Article 13 — Duties of Members

Members shall:

1. Respect the laws applicable to their activities;
2. Comply with these Statutes and internal regulations;
3. Respect the principles of Fair Play;
4. Protect the reputation and integrity of the Union;
5. Oppose doping, corruption, discrimination, manipulation, and abuse in sport;
6. Refrain from knowingly publishing materially false or misleading information concerning the Union.

CHAPTER VI — ORGANS OF THE UNION

Article 14 — Principal Organs

The principal organs of the Union shall include:

1. The General Assembly;
2. The Board of Directors;
3. The President;
4. The Secretary-General;
5. The Treasurer;
6. The Executive Committee;
7. The Ethics and Disciplinary Committee;
8. The Medical and Anti-Doping Committee;
9. The Athletes’ Committee;
10. The Coaches and Referees Committee;
11. The Development and Education Committee;
12. The Scientific and Research Committee;
13. The Women and Equality Committee;
14. The Disability Sport Committee;
15. The Legal Committee;
16. The Audit Committee; and
17. Any other committee established in accordance with these Statutes.

CHAPTER VII — GENERAL ASSEMBLY

Article 15 — General Assembly

The General Assembly shall be the supreme decision-making body of the Union, within the limits established by applicable law and these Statutes.

Its responsibilities shall include:

1. Approving and amending the Statutes;
2. Electing or removing elected members of the Board of Directors;
3. Approving the strategic plan;
4. Reviewing financial reports;
5. Approving the annual budget;
6. Appointing an auditor where required;
7. Reviewing annual activity reports;
8. Deciding upon major membership matters;
9. Deciding upon dissolution of the Union;
10. Exercising any other powers assigned to it by law or these Statutes.

CHAPTER VIII — BOARD OF DIRECTORS

Article 16 — Board of Directors

The Board of Directors shall be responsible for the strategic governance and administration of the Union.

The number and composition of the Board shall be determined by the General Assembly in accordance with the law of the jurisdiction of registration.

The Board shall:

1. Implement decisions of the General Assembly;
2. Manage the strategic affairs of the Union;
3. Approve and supervise programs;
4. Establish and supervise committees;
5. Manage financial and organizational matters;
6. Develop international relations;
7. Prepare strategic plans;
8. Submit annual reports;
9. Protect the assets and interests of the Union.

CHAPTER IX — PRESIDENT

Article 17 — President

The President shall be the principal elected executive representative of the Union unless the applicable law provides otherwise.

The President shall:

1. Represent the Union in official matters;
2. Chair meetings of the Board of Directors;
3. Supervise implementation of the strategic plan;
4. Promote national and international cooperation;
5. Represent the interests and values of the Union;
6. Submit an annual report to the competent organ.

CHAPTER X — SECRETARY-GENERAL

Article 18 — Secretary-General

The Secretary-General shall be responsible for the day-to-day administrative and executive management of the Union.

The Secretary-General shall:

1. Implement decisions of the governing organs;
2. Manage the Secretariat;
3. Coordinate committees;
4. Maintain official records;
5. Communicate with members and partner organizations;
6. Prepare administrative reports;
7. Coordinate official events and programs.

CHAPTER XI — ETHICS AND DISCIPLINE

Article 19 — Sporting Ethics

The Ethics and Disciplinary Committee shall oversee and, where authorized, investigate matters including:

1. Fraud;
2. Match manipulation;
3. Corruption;
4. Violence;
5. Discrimination;
6. Abuse and misconduct;
7. Competition-related violations;
8. Ethical violations;
9. Conflicts of interest;
10. Conduct seriously damaging to the integrity of sport.

All disciplinary proceedings shall respect fundamental principles of due process, impartiality, the right to be heard, proportionality, and the right of appeal, subject to applicable law.

CHAPTER XII — ANTI-DOPING

Article 20 — Clean Sport

The ESU supports the principle of clean and fair sport.

The Union may adopt anti-doping regulations consistent with applicable international standards and may require athletes, coaches, officials, and members under its jurisdiction to comply with such regulations.

CHAPTER XIII — ATHLETE PROTECTION

Article 21 — Protection and Development of Athletes

The Union shall promote and support:

1. Physical health;
2. Mental well-being;
3. Athlete safety;
4. Professional rights;
5. Equal opportunities;
6. Education and training;
7. Career development;
8. Transition planning following retirement from competitive sport;
9. Protection against abuse and exploitation.

CHAPTER XIV — COMPETITIONS AND EVENTS

Article 22 — Official Events

Subject to applicable law and relevant sporting regulations, the ESU may organize, sanction, support, or coordinate:

1. European Championships;
2. ESU Cups;
3. Regional leagues;
4. Youth competitions;
5. Women’s competitions;
6. Veterans’ competitions;
7. Disability sport competitions;
8. Sporting festivals;
9. Scientific conferences;
10. Coaching and referee seminars;
11. International sporting forums;
12. Award ceremonies.

The title, format, rules, eligibility requirements, and status of each competition shall be determined by the competent organ of the Union.

CHAPTER XV — AWARDS AND HONORS

Article 23 — Honors and Distinctions

The Union may establish awards and distinctions recognizing outstanding contributions to sport, including:

1. ESU Medal of Honor;
2. Fair Play Award;
3. Athlete of the Year Award;
4. Coach of the Year Award;
5. Outstanding Young Talent Award;
6. Lifetime Contribution to Sport Award;
7. Sports Innovation Award;
8. Sport for Peace and Friendship Award;
9. Honorary Membership;
10. Honorary titles approved in accordance with Union regulations.

All awards shall be granted according to transparent criteria and procedures established by the competent authority.

CHAPTER XVI — FINANCIAL ADMINISTRATION

Article 24 — Sources of Funding

The lawful financial resources of the Union may include:

1. Membership fees;
2. Donations;
3. Grants;
4. Sponsorships;
5. Lawful contractual revenues;
6. Event revenues;
7. Publications;
8. Educational and training programs;
9. Philanthropic contributions;
10. Institutional support;
11. Other lawful sources.

The income and assets of the Union shall be used exclusively to advance its lawful objectives.

No profits shall be distributed among members except where expressly permitted by applicable law.

Article 25 — Financial Transparency

All income and expenditure shall be properly recorded in the financial records of the Union.

The Union shall maintain appropriate accounting systems and shall prepare annual financial reports.

Where required by law, the accounts shall be independently audited.

CHAPTER XVII — CONFLICT OF INTEREST

Article 26 — Conflict of Interest

Any officer, director, committee member, or representative who has a direct or indirect personal, family, professional, or financial interest in a matter under consideration shall disclose such interest.

Where appropriate, that individual shall refrain from participating in the relevant decision.

CHAPTER XVIII — INTERNATIONAL RELATIONS

Article 27 — International Cooperation

The ESU may cooperate, subject to applicable law, with:

1. Sports federations;
2. Sports clubs;
3. National and regional sporting organizations;
4. Olympic and sports institutions;
5. Universities and academic institutions;
6. Governmental and non-governmental organizations;
7. International organizations;
8. Research institutions;
9. Private and public partners;
10. Other lawful sporting entities.

Such cooperation shall not, by itself, constitute official membership, recognition, accreditation, or affiliation with any international sporting organization unless such relationship has been formally and legally established.

CHAPTER XIX — INTELLECTUAL PROPERTY

Article 28 — Name, Logo, Symbols and Marks

The name, logo, emblem, flag, medals, certificates, insignia, publications, and other intellectual property of the ESU shall be protected in accordance with applicable intellectual property laws.

No person or organization may use the official name, logo, emblem, or other protected marks of the Union for commercial or official purposes without authorization.

CHAPTER XX — AMENDMENT OF THE STATUTES

Article 29 — Amendment Procedure

Proposals to amend these Statutes may be submitted by:

1. The Board of Directors; or
2. Members possessing the minimum voting or representation threshold established by the internal regulations.

Amendments shall require approval by the competent governing body and shall be registered with the relevant authorities where legally required.

CHAPTER XXI — DISSOLUTION

Article 30 — Dissolution

The Union may be dissolved only in accordance with:

1. Applicable law;
2. These Statutes; and
3. A valid decision of the competent governing authority.

Following settlement of all lawful debts and obligations, any remaining assets shall be transferred or applied in accordance with applicable non-profit law and the purposes of the Union.

Remaining assets shall not be distributed unlawfully among members or officials.

CHAPTER XXII — FINAL PROVISIONS

Article 31 — Interpretation

In the event of uncertainty concerning the interpretation of these Statutes, interpretation shall be guided by:

1. The applicable law of the country of registration;
2. The purposes and objectives of the Union;
3. Principles of sporting ethics;
4. Fair Play;
5. Equality and non-discrimination;
6. Transparency and accountability;
7. Other applicable legal and regulatory requirements.

Article 32 — Entry into Force

These Statutes shall enter into force upon their approval by the competent founding authority and completion of any legal registration or notification requirements applicable in the jurisdiction of establishment.
