
International Martial Arts Foundation (IMAF) ARTICLE I – NAME, STATUS, AND DURATION Section 1.1 – Name The name of the organization shall be International Martial Arts Foundation (IMAF), hereinafter referred to as the “Foundation.” Section 1.2 – Legal Status The Foundation shall be a non-profit, non-political, independent international organization established in accordance with the laws of the country of registration. Section 1.3 – Duration The Foundation shall exist for an indefinite period unless dissolved in accordance with these Articles. Section 1.4 – Registered Office The registered office of the Foundation shall be located in ________. The Board of Directors may establish branches, regional offices, or representations in other countries as deemed necessary. Section 1.5 – Official Seal and Emblem The Foundation shall have an official seal and emblem approved by the Board of Directors. ARTICLE II – PURPOSES AND OBJECTIVES Section 2.1 – Mission The Foundation is established to promote, develop, and regulate martial arts worldwide. Section 2.2 – Objectives The objectives of the Foundation include: Promoting martial arts at international level Enhancing technical, ethical, and cultural standards among practitioners Organizing international competitions, seminars, workshops, and training programs Establishing international technical and educational standards Supporting scientific research related to martial arts Promoting values of respect, discipline, solidarity, and peace Building cooperation networks among federations, clubs, instructors, and athletes ARTICLE III – ACTIVITIES To achieve its objectives, the Foundation may: Organize continental and world championships Issue coaching and refereeing certifications Recognize and award technical ranks (e.g., Dan/Black Belt levels) Publish books, journals, and digital educational materials Establish technical, refereeing, ethics, medical, and disciplinary committees Enter into partnerships with national and international sports organizations Raise funds in compliance with applicable laws ARTICLE IV – MEMBERSHIP Section 4.1 – Categories of Membership Membership shall consist of: Founding Members National Federations and Associations Clubs and Institutions Individual Members (coaches, referees, athletes) Honorary Members Section 4.2 – Admission Applicants must: Accept these Articles and internal regulations Submit valid documentation of martial arts activity Be approved by the Board of Directors Section 4.3 – Rights of Members Eligible members shall have the right to: Participate in General Assembly meetings Vote (if qualified under internal regulations) Benefit from Foundation programs and services Section 4.4 – Duties of Members Members shall: Comply with the Articles and regulations Protect the reputation and integrity of the Foundation Pay annual membership fees ARTICLE V – GOVERNING BODIES The governing bodies of the Foundation shall be: The General Assembly The Board of Directors The President The Auditor or Supervisory Body ARTICLE VI – GENERAL ASSEMBLY Section 6.1 – Authority The General Assembly is the supreme authority of the Foundation. Section 6.2 – Powers The General Assembly shall: Determine general policies Elect the Board of Directors Approve financial reports and budgets Amend the Articles of Association Decide on dissolution Meetings shall be held annually, with extraordinary sessions convened when necessary. ARTICLE VII – BOARD OF DIRECTORS Section 7.1 – Composition The Board shall consist of _ members elected for a term of _ years. Section 7.2 – Responsibilities The Board shall: Implement decisions of the General Assembly Approve internal regulations Establish committees Supervise financial and administrative matters Appoint the President (if not elected by the Assembly) ARTICLE VIII – PRESIDENT The President shall: Represent the Foundation legally and internationally Preside over meetings Sign official documents Oversee execution of Board decisions The President shall serve for _ years and may be re-elected. Section 9.3 – Transparency Financial records shall be maintained in accordance with applicable laws and subject to audit. ARTICLE X – DISCIPLINARY MATTERS A Disciplinary Committee may impose: Written warning Suspension Expulsion Members shall have the right to fair hearing procedures. ARTICLE XI – AMENDMENTS These Articles may be amended by a two-thirds (2/3) majority vote of members present at a duly convened Extraordinary General Assembly. ARTICLE XII – DISSOLUTION In case of dissolution, assets remaining after settlement of liabilities shall be transferred to a non-profit organization with similar objectives, in accordance with applicable law. ARTICLE XIII – FINAL PROVISIONS Internal regulations may be adopted to further define operational procedures, provided they do not conflict with these Articles.
